Entering a franchise is a quick and easy, but risky, way for many people to start their dream of owning, growing and operating a successful business. Beware. Some franchise businesses are well structured and offer the full backing and support of a national or international corporation. Others are shoddy and riddled with hidden costs. Having an experienced franchise lawyer review your franchise, or draft a franchise for you, usually makes the difference between success and ruin. Never enter or create a franchise without retaining a franchise attorney first. We are ready to help. Contact us to get started.
The full range of franchising law services
When considering a franchise, new 'ground floor' opportunities are usually to be avoided. Find franchises with ample operating history, a large and happy franchisee community, and a brand powerful enough to bring customers in your door without you lifting a finger. Make sure they have purchasing power and economies of scale so your supply costs are cheaper than your competitors. New franchisors rarely can offer these things, so avoid them. You are usually better off building your own business from scratch than signing up with a new franchisor. The odd exception exists, but as a rule, new franchisors don't have the brand power, purchasing power and experience to justify their fees and royalties!
As a franchisee, you face complex legal issues from day one. You will likely need to form an LLC or S-corp, you will need a lease review, construction & build-out agreements, loan document and master franchise agreement review, to say nothing of the UFOC or FDD review. Franchise business lawyers of Williams Law, P.C. offer a complete range of franchise attorney services that meet the needs of budding franchisees. We understand business franchise formation, review, and franchising law, at both the state and federal level. We can meet all of your transactional needs for your franchise business opportunity. Reviewing and drafting documents, including the Uniform Franchise Offering Circular (UFOC), and filing state and federal disclosure documents are all part of the services we offer. We can also help you avoid the pitfalls of franchise ownership, including issues such as employment matters and franchise misrepresentation, that often lead to disputes and litigation later.

SHOULD I FRANCHISE?
The number one question you should ask yourself before entering a franchise is simple to ask, hard to answer: "Can I build this business without these people?" If your answer is yes, or even maybe, then you should avoid the franchise. Then ask yourself, if I hang their sign, will I really get so many more customers that I will make more money than without them and their endless royalties and rules? Finally, ask yourself, have these people really figured out a better system for making money, one so good I can't possibly do better than to pay them to let me copy it? Remember, this is not only your money, but a decade or more of your life, which is irreplaceable.
Creativity vs. a Sure Thing
Franchising is popular because it is as close to a sure thing as you can get in business. It is said that 9 out of 10 new businesses fail, but only 4 out of 5 franchise businesses fail. Whether true or not, it makes the point. A franchise is a way of doing business that is so well thought out and thoroughly tested, and well advertised, that your odds are twice as good as going it alone. This has a down side. You cannot be creative with a franchise. You are not allowed to make changes to the system, add items to your menu, tweak the ingredients, or run the business as you see fit. If this is your instinctive way of approaching challenges in life, franchising may not be for you. Franchisors strictly prohibit this kind of behavior. After all, they have already figured out the whole world. Why should they listen to you? They rarely remember that it was a franchisee, not Ray Kroc, who came up with the Big Mac. So, make sure you are emotionally suited to getting in line and staying there. And make sure that they really do have the secret to making reliable fortunes. McDonalds truly knows how to make money, and they can pretty much guaranty that you will succeed. But they also know exactly how heavily to charge you for it, and in the long run, they their ample share of the profits. When you are reviewing a franchise opportunity, ask yourself, do these people have a system as powerful and proven as a McDonalds? Why do they deserve my money?
